Happy Soles Square and Round Dance Club






The name of this organization shall be Happy Soles Square and Round Dance Club.




To promote a public awareness of square and round dancing and to provide dancing opportunities for members and classes for new dancers.





Section 1       Membership shall be open to all individuals interested in and supportive of the purposes and activities of the organization upon payment of dues. Membership shall not be denied because of race, color, creed, gender, sexual orientation, or national origin.


Section 2       A member in good standing is one who has paid their dues on or before the first dance of the dance season.


Section 3       Improper conduct including but not limited to intoxication, profanity, or harassment may result in cancellation of membership by the Board of Directors with no refund of dues.


Section 4      Free membership may be granted to individuals by the Board of Directors.  This membership may be for one year or longer as determined by the Board of Directors.


Section 5       A general meeting of the membership shall be held at least once a year. Additional meetings may be scheduled at the discretion of the Board.





Section 1       The officers to be elected shall be: President, Vice President, Secretary and Treasurer.  The term of office is one year, with elections held annually.  People may be elected to the Board of Directors for a maximum of three (3) consecutive terms.


Section 2       These officers, plus the immediate past President, shall constitute the Board of Directors, which shall:


a.       Present recommendations to the membership for approval.


b.      Authorize disbursements.  Venue rental, Caller and Cuer fees do not need prior approval.


Section 3       The President shall preside over all business meetings, chair the Board of Directors, supervise all activities of the organization and designate a person(s) to be in charge of activities in his/her absence.


Section 4       The Vice President shall assist the President and assume the President’s duties in the President’s absence.


Section 5       The Secretary shall keep such records as may be designated by the Board of Directors.


Section 6       The Treasurer shall keep all financial records, file all appropriate documents and maintain club insurance.


Section 7       Nominations for officers shall be made at the annual meeting of the membership and voted on at that time.  Newly elected officers shall assume their duties at the beginning of the fiscal year. 


Section 8        If a vacancy occurs on the Board, the remaining Board shall make an appointment to fill the vacancy.


Section9        Disbursement of funds from the club, either in cash or from the club’s checkbook, can be made by either the Treasurer or the President. 


Section 10     Officers shall not be paid for their services.  Employees, including the Caller and Cuer, shall be paid on a contractual basis.





Each member in good standing shall have one (1) vote.  A simple majority of members present at a club meeting shall be sufficient to pass any motion except amendments to the Constitution.





Section 1.     The Board of Directors may affiliate with other organizations.


Section 2.     The Treasurer is authorized to pay such annual dues or fees as established by the affiliate organizations.





Section 1.     Upon dissolution of the Organization, no member shall be entitled to any distribution or division of its remaining money or property.  After payment of all debts, the balance of all the money and property shall be distributed to the West Michigan Square & Round Dance Association or other non-profit organization(s) as approved by the Board of Directors.





Section 1.     Any individual (and heirs, executors, and administrators of such individual) made or threatened to be made a party to any action, suit, by reason of the fact that he/she is or was a member of the Board of Directors shall be indemnified by the Organization against any and all liability.





Amendments to the Constitution may be proposed by any member.  An affirmative vote by two-thirds (2/3) of the members present at a club meeting is required to amend the Constitution.  Amendment wording shall be sent to membership at least 2 weeks prior to any vote.
